COMPANY ENTERS THE NORTH CENTRAL MARKET WITH ACQUISITION OF HOSTING OPERATION VeriCenter, Inc., announced today the acquisition of St. Paul, Minn.-based Agiliti, Inc., a premier provider of enterprise hosting with a 10,000 sq. ft. data center facility and extensive customer base. The acquisition allows VeriCenter to expand into the North Central region of North America, building upon the company’s growth strategy of further extending its service offerings into new geographic markets. Tom Kieffer, former CEO of Agiliti, now joins the VeriCenter board of directors. Under terms of the agreement, VeriCenter issued preferred stock to Agiliti shareholders as purchase consideration in the transaction. “Acquiring Agiliti is another important step in our becoming the leading managed services provider in North America,” said Gray Hall, CEO and president of VeriCenter. "Agiliti’s success over the years in delivering premium customer service makes Agiliti and VeriCenter a great match.” “With IT outsourcing services growing rapidly, we believe that VeriCenter is in an excellent position to lead the marketplace in the depth and breadth of on demand computing services, and we know our customers will benefit from VeriCenter’s capabilities and resources,” said Tom Kieffer, CEO and founder of Agiliti. Houston-based VeriCenter is the first company in the enterprise hosting industry to successfully acquire and integrate multiple established hosting operations (Sprint E-Solutions, DellHost, and Agiliti) while successfully retaining customers, employees and shareholders. VeriCenter provides managed IT services and infrastructure with a 100 percent network guarantee uptime. Its distributed, high-availability data center network gives customers the ability to scale rapidly through centrally delivered automated IT services. Today, VeriCenter operates seven tier-one facilities in Atlanta, Boston, Dallas, Denver, Houston and Minneapolis-St. Paul. “Our customer base and geographic footprint has expanded rapidly, yet we have stayed extremely focused on premium service delivery and meeting our customers’ expectations,” said Hall. “Our mission is to deliver the best customer service experience in the managed service provider industry, and ultimately to deliver a utility computing service model to our customers.” Utility computing lets companies tap IT infrastructure capabilities on an as-needed basis, similar to buying electricity, without the requirement to buy, maintain and upgrade their own infrastructures. The market for utility computing, or on-demand application services as it is also known, is expected to grow 44 percent a year over the next three years, according to International Data Corp., a global market intelligence and advisory firm. VeriCenter had $38.4 million in revenues in 2004, up from $9.8 million in 2003, and the company has experienced 19 sequential calendar quarters of revenue growth. About VeriCenter, Inc.
